a one-time grant of stock options to
purchase 750 shares of Common Stock of xxx at an exercise price equal to the closing price of
xxx’s Common Stock as reported by NASDAQ at the date of such grant.
The vesting
commencement date shall be your start date. Such option shall vest and become exercisable over three
years with a one-year cliff, meaning that one third of your shares will be vested one year from your
vesting commencement date and the remaining shares will vest monthly thereafter on a ratable basis.
Vesting will depend on your continued employment with xxx.
xx reserves the absolute right in its sole discretion to suspend, modify, cancel or terminate any of
its stock option plans, at any time and without compensation to you.
