成立公司

常常有客户问我他们需不需要（现在）成立公司。我的答案基本上是“ It depends ”。早成立公司的好处包括：（ 1 ）通过公司的责任有限制保护创业团队的个人资产，（ 2 ）在智慧产权尚未成形之前以低价转让给公司，也为新研发出的智慧产权定下归属，（ 3 ）给创业团队发行股票，从而凝聚向心力，而公司也可以发行低价options 招揽新人才，等等。而坏处主要是成立公司所需的花费（政府收的费用与税金，agent 的费用，律师费，等等）。

既然取舍如此简单，那为什么答案是“ It depends ”？

第一，如果创业团队还在为别的公司工作的话，成立公司与智慧产权就牵涉到与现有雇主的劳动合约，而不是一件说做就做的事。

第二，如果公司未来的主要市场不在美国，那是否在美国设立公司就变成一件需要慎重评估的事。

第三，就算公司未来的主要市场在美国，公司本身的业务形态与预期发展也会影响公司在美国的那一州，以那一种形态设立。

第四，是否公司有其他的特殊情形需要斟酌。

第五，是否创业团队有其他的个人因素需要考虑。

如果团队已下定决心创业的话，那花一点时间问问律师的意见不失为明智之举。硅谷startup 律师通常会很乐意花半到一个小时免费咨询。如果等到公司稍具规模之后，那个时候有些错误就无法挽回了。比方说最近一个公司问我，如果他们的主要收入来自海外，而他们的公司设在美国，而过去研发都在美国做（因为公司成立的时候也没想那么多），而现在才知道美国公司的收入要打30% 以上的企业税，有没有可能通过海外设立子公司来达到减税的目的？

Well, it depends.
